上周末,科技圈最大的新闻莫过于OpenAI的CEO被自家董事会扫地出门了,新闻已经颁布立即在全球引起轩然大波,48幼时的回转再回转,足足让各人吃鼓了瓜。
首先出场的是一多段子手:
有的说,AI大模型居然会造成失业。
有的说,山姆被开除是由于进入了OpenAI的禁地——总部地下室,发现OpenAI的主题思密——里面有21700名员工在手动回复ChatGPT收到的提问。

网友:这就是ChatGPT时不断掉线的原因

还有网友脑洞大开,说是由于妖怪终结者中的剧情成真了(AI天网覆灭人类,人类幸存者穿越回来关关天网),山姆被开除是由于未来某个ChatGPT关键版本不受节造要覆灭人类,为了援救多生,山姆不得已穿越时空阻止从前的自己……

瓜虽大,言归正传,周末这场科技圈的大地震的确让人匪夷所思,由于就在两周之前,山姆·奥特曼还主持了OpenAI首届开发者大会,推出了目前最先进的ChatGPT模型GPT-4 turbo,还颁布了GPTs——可能让用户零代码、仅用天然说话就能定造化GPT,并且能够把GPT上传到GPT Store供他人使用,一功夫OpenAI惊艳世界。谁也没想到,仅仅两周之后,OpenAI将会以这种方式再次震惊全球。
我们首先来梳理一下这一事务的功夫线:
01 奥特曼突遭开除
本地功夫11月16日(周四)晚,OpenAI首创人,时任CEO的山姆·奥特曼收到首席科学家伊利亚·萨斯克维尔(Ilya Sutskever)发来的短信,要求周五中午面谈,除了结合首创人兼董事长格雷·布罗克曼(Greg Brockman)之表整个董事会都在场,在这场会议上,奥特曼通达了自己将被开除。
本地功夫11月17日(周五),布罗克曼被奉告,他将被从董事会中除名(将保留他的职位),而奥特曼已被开除。统一天,OpenAI官网颁布布告,颁发奥特曼将辞去首席执行官一职并脱离董事会,由技术主管米拉·穆拉蒂接任,立即生效。

据海表媒体报路,OpenAI董事会已选择前Twitch首席执行官Emmett Shear担任一时首席执行官,“ChatGPT之父”山姆·奥特曼回归宣告失败。
而最新的新闻则显示,山姆·奥特曼和格雷·布罗克曼双双参与微软,将携带一个高级AI钻研团队。
忽然被开除,这件事说到底,山姆·奥特曼自己应该有很大的责任,由于OpenAI的股权架构是他自己亲自设计的。
2015年,由伊隆·马斯克和山姆·奥特曼等硅谷大佬出资10亿美金缔造了OpenAI Inc.(OpenAI Nonprofit),一家非投机性组织,用来抗衡谷歌支持的DeepMind,指标是让AI造福全人类。
但是AI的开发切实是太烧钱了,烧不起了就只能融资。
2019年,在山姆·奥特曼的亲自设计之下,OpenAI Inc.搭建了一家 “有收益上限”的有限合资企业——OpenAI LP,并以此为主体对表融资,凭据和谈铺排,首创人团队收益上限为100倍,微软的收益上限为5-10倍,其他投资人的收益上限为20倍,员工为10倍。

整个OpenAI架构有三大特点:
01 首创人兼CEO不持股
作为首创人兼CEO,按理说山姆·奥特曼应该持有大量的公司股份,但事实上,他一股都没有。在今年5月16日,山姆·奥特曼在美国参议院关于AI监管的听证会上亲自证实自己并没有持有任何OpenAI的股权,并暗示自己在OpenAI领的工资只够买医疗保险,台上的参议员笑着说你应该请个律师,山姆·奥特曼接着说:“我做这件事(OpenAI)只是出于酷爱。”
02 投资人只出资不节造
从2019年起头,微软和OpenAI成立了战略合作关系,今年1月,微软颁发未来将分阶段累计向OpenAI投资130亿美元。在向OpenAI投入巨资之后,OpenAI的险些所有新职能,都被微软集成到了自家的服务中去,先是Bing搜索接入了ChatGPT,能够免费试用GPT4.0模型;在最新颁布的Win11 23H2版本中,微软推出了全新的AI副手,将AI服务集成到系统的侧边栏中,并定名为Copilot。
即便“豪”如微软,投了这么多钱,其在OpenAI中也只有利润分享的权势,没有董事会席位,也没有节造权。像开除CEO这样的沉大事务,微软治理层也是在新闻颁布的前几分钟才得知。
03 四阶段的利润分配设计
岁首《财富》杂志封面文章介绍了OpenAI的架构,凭据文章的介绍,在OpenAI盈利后,利润分配将依照四个阶段推动:
第一阶段:OpenAI的利润100%分配给以马斯克为首的首批投资人,直到他们收回初始投资成本,也就是10亿美元。

第二阶段:首批投资者收回初始本钱后,微软将有权获得75%的利润,直至其收回130亿美元的投资成本。渣滓25%分配给员工以及用来支付首轮投资人的利润上限。

OpenAI Inc.全资持有OpenAI GP, LLC,而后者通过和谈节造新成立的OpenAI Global, LLC;员工及除微软表的其他投资人则在OpenAI Holding, LLC层面持股。

Overview

We founded the OpenAI Nonprofit in late 2015 with the goal of building safe and beneficial artificial general intelligence for the benefit of humanity. A project like this might previously have been the provenance of one or multiple governments—a humanity-scale endeavor pursuing broad benefit for humankind.

We always suspected that our project would be capital intensive, which is why we launched with the goal of $1 billion in donation commitments. Yet over the years, OpenAI’s Nonprofit received approximately $130.5 million in total donations, which funded the Nonprofit’s operations and its initial exploratory work in deep learning, safety, and alignment.

The OpenAI Nonprofit would remain intact, with its board continuing as the overall governing body for all OpenAI activities.

Over the years, the Nonprofit also supported a number of other public charities focused on technology, economic impact and justice, including the Stanford University Artificial Intelligence Index Fund, Black Girls Code, and the ACLU Foundation.

The primacy of the mission above all is encoded in the operating agreement of the for-profit, which every investor and employee is subject to:

While investors typically seek financial returns, we saw a path to aligning their motives with our mission. We achieved this innovation with a few key economic and governance provisions:

First, the for-profit subsidiary is fully controlled by the OpenAI Nonprofit. We enacted this by having the Nonprofit wholly own and control a manager entity (OpenAI GP LLC) that has the power to control and govern the for-profit subsidiary.

Shortly after announcing the OpenAI capped profit structure (and our initial round of funding) in 2019, we entered into a strategic partnership with Microsoft. We subsequently extended our partnership, expanding both Microsoft’s total investment as well as the scale and breadth of our commercial and supercomputing collaborations.
